Welcome to Oberon Chat. These Terms of Service (“Terms”) govern your use of our chatbot software platform (the “Service”). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Oberon Chat is a software product provided by Oberon, an Irish business.
1. Description of the Service Oberon Chat provides a software platform that enables you to deploy a chatbot on your website. The Service requires you to connect to a third-party Large Language Model (LLM) provider (e.g., OpenAI, Google, Anthropic) by entering your own private API key into the Service’s administrative panel. We are a software provider, not an AI or LLM provider.
2. Your Relationship with Third-Party LLM Providers
- Your Own Account: You are solely responsible for procuring, maintaining, and paying for your account with a third-party LLM provider.
- Provider’s Terms: Your use of any third-party LLM is governed entirely by that provider’s separate terms of service and privacy policy. Oberon Chat is not a party to that agreement.
- No Liability for Third Parties: Oberon Chat has no control over, and assumes no responsibility or liability for, the services, data handling practices, availability, or output of any third-party LLM provider.
3. Data Protection and GDPR Compliance
- Roles: For the purpose of the General Data Protection Regulation (GDPR), you are the Data Controller for any personal data collected from individuals who interact with the chatbot on your website (“End-Users”). Oberon Chat acts as a Data Processor, processing this data strictly on your behalf and according to your instructions. Your chosen LLM provider acts as a sub-processor.
- Your Responsibilities as Data Controller: You acknowledge that you are solely responsible for:
- Ensuring you have a lawful basis (e.g., consent) to collect and process End-User data.
- Providing a legally compliant privacy notice to your End-Users.
- Selecting an LLM provider whose data processing locations and practices comply with your obligations under GDPR.
- Fulfilling any Data Subject Rights requests (e.g., for access or deletion) from your End-Users.
- Oberon Chat’s Role as Data Processor: We will only process data to the extent necessary to transmit it from your website, through our Service, to your designated LLM provider. Our obligations as a Data Processor are further detailed in our Data Processing Addendum (DPA), which is incorporated by reference into these Terms.
4. User Content and AI Output You retain ownership of the content you and your End-Users submit (“Input”). Your rights to the AI-generated content (“Output”) are governed by the terms of your chosen LLM provider. Oberon Chat makes no claim of ownership over any Input or Output.
5. Acceptable Use Policy You agree not to use the Service in any way that violates your agreement with your chosen LLM provider or applicable laws. You are responsible for any misuse of the service originating from your account.
6. Disclaimer of Warranties and Limitation of Liability The Service is provided “as is.” We provide the software, but we expressly disclaim any and all warranties related to the performance, accuracy, or reliability of the underlying third-party LLM you choose to use. The output from the AI is not our responsibility.
To the fullest extent permitted by law, Oberon Chat shall not be liable for any damages arising from your use of the Service, or from the failures or outputs of your chosen third-party LLM provider.
7. Indemnification You agree to indemnify and hold harmless Oberon Chat, its directors, and employees from any and all claims, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your breach of any data protection laws, including GDPR.
8. Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of Ireland. You agree to submit to the exclusive jurisdiction of the Irish courts for the resolution of any disputes.
